Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 26, 2021, Dan M. (“Mac”) Chandler, III announced his intention to resign as Executive Vice President, Chief Investment Officer of the Company. Mr. Chandler’s resignation will be effective on or before March 26, 2021. Mr. Chandler has confirmed that his resignation did not result from a disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including its financial controls or other financial-related matters.
